Welcome to Indie Store. These Terms of Use govern your access to and use of our mobile application and website at indiestore.app (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these terms.

Please read them carefully before using Indie Store.

1. About Indie Store

Indie Store is a two-sided marketplace that connects buyers with verified artisans and craftspeople from North East India. We facilitate transactions between buyers and sellers but are not a party to the actual sale of goods.

2. Eligibility

To use Indie Store you must:

  • Be at least 18 years of age
  • Have a valid phone number for account verification
  • Not be barred from using the Platform under applicable law

By using the Platform, you represent that you meet all eligibility requirements.

3. Account Registration

  • You must register using a valid phone number. OTP-based verification is mandatory.
  • You are responsible for maintaining the confidentiality of your account.
  • You must not share your account with any other person.
  • You must notify us immediately at hello@indiestore.app if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these terms.

4. Buyer Terms

4.1 Placing Orders

  • By placing an order, you agree to purchase the product at the listed price plus applicable shipping charges.
  • Orders are confirmed only after successful payment processing via Razorpay.
  • Once an order is confirmed, a unique verification ID is generated and attached to your shipment label and sent to you via SMS/WhatsApp. You may use this ID to verify the authenticity of your order on the Platform.

4.2 Payments

  • All payments are processed securely by Razorpay. Indie Store does not store your payment credentials.
  • Prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

4.3 Cancellations and Returns

  • Cancellation requests must be made before the order is shipped.
  • Return and refund eligibility depends on the individual seller's policy, which is displayed on the product page.
  • In case of damaged or incorrect items, contact us at hello@indiestore.app within 48 hours of delivery with photo evidence.

4.4 Product Authenticity

  • All products on Indie Store are listed by verified artisans. Product authenticity is verifiable using the blockchain-based verification system built into the Platform.
  • Indie Store does not guarantee the accuracy of product descriptions provided by sellers.

5. Seller Terms

5.1 Seller Approval

  • Selling on Indie Store requires approval. You must submit accurate business and identity information during onboarding.
  • We reserve the right to approve or reject seller applications at our discretion.
  • Approved sellers must maintain the standards set by Indie Store including product quality, accurate listings, and timely fulfillment.

5.2 Product Listings

  • Sellers are solely responsible for the accuracy of their product listings including title, description, price, and images.
  • Listings must not include prohibited items (see Section 8).
  • When a product is listed, a cryptographic hash of key product details is recorded on the blockchain for authenticity verification purposes.

5.3 Order Fulfillment

  • Sellers must fulfill confirmed orders within the stated processing time.
  • Sellers must hand over shipments to Shiprocket within the agreed timeframe.
  • Failure to fulfill orders consistently may result in account suspension.

5.4 Payouts

  • Seller payouts are processed via RazorpayX after order delivery confirmation.
  • Indie Store deducts a platform commission from each transaction before disbursing the payout. The commission rate is communicated during seller onboarding.
  • Payouts are subject to Razorpay's payout processing timelines.

5.5 Seller Conduct

  • Sellers must not communicate with buyers outside the Platform to circumvent Indie Store's commission.
  • Sellers must not list counterfeit, stolen, or prohibited goods.
  • Sellers are responsible for any applicable taxes on their sales.

6. Shipping and Delivery

  • Shipping is handled by Shiprocket and its partner courier services.
  • Estimated delivery timelines are provided at checkout and are not guaranteed.
  • Indie Store is not liable for delays caused by courier partners, natural disasters, or other circumstances beyond our control.

7. Intellectual Property

  • All content on the Platform including logos, design, text, and code is the property of Indie Store and is protected by applicable intellectual property laws.
  • Sellers retain ownership of their product images and descriptions but grant Indie Store a non-exclusive license to display this content on the Platform.
  • You may not copy, reproduce, or distribute any content from the Platform without our prior written consent.

8. Prohibited Items and Conduct

You may not use Indie Store to list, sell, or purchase:

  • Counterfeit or replica products
  • Stolen goods
  • Weapons, explosives, or hazardous materials
  • Illegal substances
  • Items that infringe third-party intellectual property rights

You may not use the Platform to:

  • Harass, abuse, or harm other users
  • Submit false or misleading information
  • Attempt to gain unauthorized access to our systems
  • Engage in any fraudulent activity

Violation of these prohibitions may result in immediate account termination and legal action.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Indie Store acts solely as a marketplace facilitator and is not liable for the quality, safety, or legality of items listed by sellers.
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
  • Our total liability to you for any claim shall not exceed the amount you paid for the transaction giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Indie Store harmless from any claims, losses, damages, or expenses (including legal fees) arising from your violation of these Terms or your use of the Platform.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any reason we deem appropriate. You may delete your account at any time by contacting hello@indiestore.app.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Assam, India.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the app or SMS. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
